Draft notice This document is a working draft, written to reflect how LifeInstaller actually operates. Sections marked with a red note below are the ones where a solicitor's input matters most before this becomes final — particularly limitation of liability, since this service executes real installations against customer production systems.

1. Acceptance of these terms

By accessing or using LifeInstaller, you agree to these terms. If you are using LifeInstaller on behalf of an organization, you confirm you have authority to bind that organization to these terms.

2. What LifeInstaller does

LifeInstaller is a platform that schedules and executes the installation of IFS Cloud deliveries to environments you specify, using an agent that runs on infrastructure controlled by you or your hosting partner. LifeInstaller retrieves delivery packages from IFS's build platform on your behalf, using authentication you provide, and stages and installs them according to a schedule you set.

3. Accounts and roles

Access is organized around three roles: System Administrator (manages platform customers, environments, and Customer Administrators), Customer Administrator (manages which Consultants may access a given customer), and Consultant (schedules and monitors installations for customers they've been granted access to). You are responsible for the accuracy of access you grant to others under your organization's account.

Fees are agreed directly with your organization at the time of signup and are billed on the basis set out in your order — typically an annual or monthly fee per committed customer seat. [Full fee schedule and payment terms to be finalized and referenced here once pricing is locked in.]

6. Service availability

LifeInstaller depends on third-party infrastructure and services, including Microsoft Azure and IFS's own platform, which are outside our control. We do not guarantee uninterrupted availability, and scheduled installations may be delayed or fail due to factors outside LifeInstaller's control, including the availability of IFS's build platform or the customer's own environment.

7. Limitation of liability

Needs solicitor review This is the single most important section to get right before this document is final. LifeInstaller triggers real installations against production databases — a failed or mistimed install has genuine potential for business impact, and this clause is what determines LifeInstaller's actual financial exposure if something goes wrong. The wording below is a reasonable starting position, not a substitute for professional drafting.

To the fullest extent permitted by law, LifeInstaller's total liability arising from or related to your use of the service is limited to the fees paid by you for the service in the twelve (12) months preceding the event giving rise to the claim. LifeInstaller is not liable for indirect, incidental, or consequential damages, including loss of data, loss of business, or loss of profit, arising from the use of the service, including from an installation that fails, is delayed, or does not complete as expected.

8. Indemnification

You agree to indemnify LifeInstaller against claims arising from your breach of these terms, misuse of the service, or from environment connection details, backup scripts, or access grants you provide.

9. Termination

Either party may terminate this agreement in accordance with the notice terms set out in your order. Upon termination, access to the platform will be revoked, and installation history may be retained for a reasonable period for audit purposes before deletion.

10. Intellectual property

LifeInstaller, including its software, branding, and documentation, remains the property of Excelor (Europe) Limited. Nothing in these terms transfers ownership of LifeInstaller to you.

11. Changes to these terms

We may update these terms from time to time. Material changes will be communicated to your organization's administrators, and continued use of the service after such changes constitutes acceptance.

12. Governing law

These terms are governed by the laws of England and Wales. [To be confirmed during legal review, particularly if serving customers outside the UK.]
